Terms & Conditions

1. Payment Terms

All fees are quoted exclusive of VAT.
A 50% deposit is required to commence work on one-time projects (e.g., website design, branding).
The remaining 50% balance is due upon completion, prior to final file delivery or launch.
For monthly services (social media, Google Ads management), payment is due in advance by the 1st of each month.

Failure to settle invoices within 7 days may result in suspension of services without notice.

2. Project Timeline & Delivery

Estimated timelines are provided as guidance only and are not guaranteed unless explicitly agreed in writing.
Delays caused by late feedback, delayed access, or changes in scope may extend delivery dates.
Final delivery occurs once full payment has been received.

3. Client Responsibilities

To ensure smooth project execution, you agree to:

Provide timely feedback during approval phases (e.g., content, designs, reports)
Supply all necessary assets (logos, images, copy, login access) promptly
Designate a single point of contact for communication
Approve campaigns and content before publication where applicable

Delays due to client-side unavailability may impact launch schedules.

4. Cancellation Policy

Monthly service agreements require 30 days’ written notice for cancellation.
One-time projects cannot be cancelled after commencement without forfeiture of the deposit.
No refunds will be issued for completed or partially delivered work.

5. Intellectual Property

Upon full payment, you retain ownership of all final deliverables created exclusively for your brand (e.g., logos, social content, websites).
Chilli Media retains rights to tools, templates, processes, and stock imagery used in creation.
Use of licensed stock photos remains permitted under standard commercial use terms.

6. Ad Spend & Third-Party Costs

Advertising budgets (Meta, Google, TikTok) are paid directly by the client to the platform.
Chilli Media does not mark up ad spend — we manage campaigns only.
We are not liable for ad rejections, policy violations, or performance issues caused by platform algorithms or audience behaviour.

7. Scope & Changes

Work is performed strictly within the agreed scope.
Additional requests outside the original agreement will be billed at R750/hour (excl. VAT) or quoted separately.
“Unlimited revisions” are not offered — two rounds of feedback included per deliverable.

8. Confidentiality

Chilli Media treats all client information as confidential.
Your data will not be shared with third parties without consent.
Case studies or portfolio use requires prior approval.

9. Liability

While we strive for excellence, Chilli Media is not liable for indirect losses (e.g., lost sales, missed opportunities).
Results such as engagement, leads, or rankings depend on multiple factors including market conditions, competition, and product quality — these cannot be guaranteed.

10. Governing Law

These terms are governed by the laws of South Africa.
Any disputes shall be resolved through mediation or in the courts of Gauteng, Johannesburg.
